BreathConductor™ Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the BreathConductor™ website, web application, content, software, subscriptions, features, and related services (collectively, the “Service”) provided by Muvik Labs, LLC (“Muvik Labs,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

IMPORTANT WELLNESS DISCLAIMER

BREATHCONDUCTOR IS A WELLNESS PRODUCT ONLY.

BREATHCONDUCTOR IS NOT A MEDICAL DEVICE.

THE SERVICE IS NOT INTENDED TO DIAGNOSE, TREAT, CURE, PREVENT, MONITOR, OR MANAGE ANY DISEASE, MEDICAL CONDITION, MENTAL HEALTH CONDITION, OR HEALTH DISORDER.

THE SERVICE DOES NOT PROVIDE MEDICAL ADVICE, HEALTHCARE SERVICES, THERAPY, COUNSELING, PSYCHOLOGICAL TREATMENT, OR PROFESSIONAL HEALTH GUIDANCE.

ANY INFORMATION, RECOMMENDATIONS, BREATHING EXERCISES, PACING SUGGESTIONS, HEART RATE VALUES, HEART RATE VARIABILITY VALUES, WELLNESS SCORES, OR OTHER OUTPUTS PROVIDED THROUGH THE SERVICE ARE FOR GENERAL WELLNESS, RELAXATION, EDUCATIONAL, MINDFULNESS, AND STRESS-MANAGEMENT PURPOSES ONLY.

YOU SHOULD NOT RELY ON THE SERVICE FOR MEDICAL DECISIONS.

ALWAYS SEEK THE ADVICE OF A QUALIFIED HEALTHCARE PROFESSIONAL REGARDING ANY MEDICAL CONDITION OR HEALTH CONCERN.

Eligibility

You must be at least eighteen (18) years old to create an account, purchase a subscription, or use the Service independently.

The Service may include family-friendly content intended to help adults use breathing and mindfulness exercises with children. However, the Service is not intended for independent use by children under the age of thirteen (13).

By using the Service, you represent and warrant that you have the legal capacity to enter into these Terms.

Health and Safety Warning

Breathing exercises may affect heart rate, breathing patterns, emotional state, dizziness, blood pressure, and physical comfort.

You should immediately stop using the Service if you experience:

  • Dizziness
  • Fainting
  • Chest pain
  • Shortness of breath
  • Severe anxiety
  • Physical discomfort
  • Emotional distress
  • Any other concerning symptom

If you are pregnant or have any cardiovascular, respiratory, neurological, psychiatric, or other medical condition, consult your healthcare provider before using the Service.

You voluntarily assume all risks associated with participation in breathing exercises and use of the Service.

Heart Rate and HRV Features

The Service may offer optional wellness features that use:

  • Bluetooth heart rate monitors
  • Camera-based heart rate estimation
  • Camera-based heart rate variability (HRV) estimation
  • Third-party biometric processing technologies

These features are intended solely to enhance the user’s wellness experience.

Any heart rate, HRV, pacing recommendation, wellness score, or biometric estimate provided through the Service:

  • Is informational only
  • May be inaccurate
  • May be incomplete
  • May differ between devices
  • Is not a clinical measurement
  • Is not intended for medical use

You acknowledge that measurement quality may be affected by:

  • Device quality
  • Sensor quality
  • Lighting conditions
  • Movement
  • Camera quality
  • Bluetooth signal quality
  • Browser limitations
  • Network conditions
  • Environmental conditions

Muvik Labs does not guarantee the accuracy, reliability, completeness, or medical validity of any measurement generated through the Service.

Artificial Intelligence and Automated Recommendations

The Service may use algorithms, automated systems, statistical models, artificial intelligence, or machine-learning technologies to generate content, recommendations, breathing guidance, pacing suggestions, summaries, or other outputs.

Such outputs are informational only and may contain errors, inaccuracies, omissions, or recommendations that are not suitable for every individual.

You remain solely responsible for evaluating and determining whether any recommendation is appropriate for your circumstances.

Muvik Labs does not guarantee any outcome resulting from the use of automated recommendations.

Beta and Experimental Features

Certain features may be released in beta, preview, testing, experimental, research, or early-access form.

Such features may contain bugs, interruptions, inaccuracies, incomplete functionality, unexpected results, or errors.

You acknowledge that experimental features are provided on an “as-is” basis and may be modified, suspended, restricted, or discontinued at any time without notice.

Third-Party Services and Devices

The Service may rely upon third-party providers, technologies, software, hardware, and services.

Examples include:

  • VitalLens and related biometric estimation technologies
  • Bluetooth heart rate monitors
  • Browser vendors
  • Hosting providers
  • Payment processors
  • Analytics providers
  • Internet service providers

Muvik Labs does not control and is not responsible for the performance, availability, accuracy, security, privacy practices, functionality, or reliability of third-party services or devices.

Your use of third-party products and services may be governed by separate agreements and privacy policies.

User Responsibility

You are solely responsible for:

  • Your use of the Service
  • Your health-related decisions
  • Your breathing practices
  • Your participation in exercises
  • Your interpretation of information provided by the Service
  • Any actions you take based on recommendations or measurements

Muvik Labs shall not be responsible for decisions made by users based upon information, content, measurements, estimates, or recommendations provided through the Service.

Accounts

You are responsible for maintaining the confidentiality of your account credentials.

You agree to provide accurate and complete information and to keep your account information current.

You are responsible for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms.

Subscriptions and Payments

Certain features may require a paid subscription.

Subscription pricing, billing frequency, renewal terms, and available plans will be disclosed before purchase.

Unless otherwise disclosed at the time of purchase, subscriptions automatically renew at the end of each billing cycle until canceled.

You may cancel your subscription at any time through the Service or the payment provider used to purchase the subscription.

Except where required by law, subscription fees are non-refundable.

We reserve the right to modify pricing, subscription plans, features, or billing structures at any time.

Intellectual Property

The Service and all related content, software, code, graphics, designs, logos, audio, video, text, trademarks, and intellectual property rights are owned by Muvik Labs, LLC or its licensors.

Subject to these Terms, Muvik Labs grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for personal, non-commercial use.

You may not:

  • Reverse engineer the Service
  • Copy the Service
  • Modify the Service
  • Create derivative works
  • Attempt to access source code
  • Circumvent security measures
  • Use the Service for commercial exploitation without written permission

Acceptable Use

You agree not to:

  • Violate applicable laws
  • Interfere with operation of the Service
  • Attempt unauthorized access
  • Introduce malware or harmful code
  • Scrape or harvest data
  • Use automated systems without authorization
  • Misrepresent your identity
  • Abuse, disrupt, or impair the Service

Availability

The Service is provided over the internet and depends upon technologies outside our control.

We do not guarantee uninterrupted access, availability, performance, or compatibility.

The Service may be modified, restricted, suspended, interrupted, or discontinued at any time without liability.

We do not guarantee compatibility with any:

  • Browser
  • Operating system
  • Mobile device
  • Computer
  • Camera
  • Bluetooth device
  • Heart rate monitor
  • Hardware configuration

NO EMERGENCY USE

THE SERVICE IS NOT DESIGNED FOR EMERGENCY, LIFE-SUPPORT, LIFE-SUSTAINING, CRITICAL HEALTH, OR DIAGNOSTIC PURPOSES.

DO NOT USE THE SERVICE IN PLACE OF EMERGENCY MEDICAL CARE.

IF YOU BELIEVE YOU ARE EXPERIENCING A MEDICAL EMERGENCY, CALL EMERGENCY SERVICES IMMEDIATELY.

DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

MUVIK LABS DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY
  • RELIABILITY
  • AVAILABILITY
  • SECURITY
  • PERFORMANCE
  • RESULTS OBTAINED THROUGH USE OF THE SERVICE

MUVIK LABS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MUVIK LABS, LLC, ITS MEMBERS, MANAGERS, OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR SIMILAR DAMAGES.

THIS INCLUDES, WITHOUT LIMITATION:

  • LOSS OF PROFITS
  • LOSS OF REVENUE
  • LOSS OF DATA
  • LOSS OF GOODWILL
  • BUSINESS INTERRUPTION
  • PERSONAL INJURY
  • EMOTIONAL DISTRESS
  • PROPERTY DAMAGE
  • RELIANCE ON MEASUREMENTS OR RECOMMENDATIONS

WHETHER ARISING UNDER CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF MUVIK LABS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF:

(A) THE AMOUNT PAID BY YOU TO MUVIK LABS DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR

(B) ONE HUNDRED UNITED STATES DOLLARS (US $100).

Indemnification

You agree to defend, indemnify, and hold harmless Muvik Labs, LLC and its officers, owners, members, employees, contractors, affiliates, licensors, and service providers from and against any claims, damages, liabilities, losses, costs, and expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your misuse of wellness recommendations
  • Your misuse of biometric measurements
  • Your violation of applicable law
  • Claims arising from your conduct

Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

Changes to the Service

We may modify, update, improve, restrict, suspend, or discontinue any part of the Service at any time without liability.

Termination

We may suspend or terminate your access to the Service at any time if we reasonably believe you have violated these Terms or if continued operation of the Service is no longer practical.

Upon termination, all rights granted to you under these Terms immediately cease.

Governing Law

These Terms shall be governed by the laws of the State of New York, without regard to conflict-of-law principles.
